Welcome to TheBizAutomater. These Terms of Service (“Terms”) govern your use of our website and services. By accessing our website at https://thebizautomater.com or engaging our business automation services, you agree to be bound by the following terms and conditions. Please read them carefully.

1. Acceptance of Terms

By accessing or using the TheBizAutomater website (https://thebizautomater.com) or engaging our business automation consulting and implementation services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. We reserve the right to update or modify these Terms at any time, and your continued use of the services following any changes constitutes acceptance of those changes.

2. Description of Services

TheBizAutomater provides business automation consulting, systems integration, CRM implementation, workflow optimization, and related technology services for small and medium-sized businesses. Our services include, but are not limited to, automation strategy development, platform configuration, workflow design, staff training, and ongoing support. The specific scope of services will be outlined in a separate Statement of Work or Service Agreement for each engagement.

3. Client Responsibilities

You agree to provide timely and accurate information, data, and access necessary for us to perform the agreed-upon services. You are responsible for ensuring that your team cooperates with our consultants and follows implementation guidelines. You acknowledge that delays in providing required information or access may impact project timelines and deliverables.

You are responsible for maintaining the security of your own login credentials, accounts, and systems. You agree not to share access credentials provided to you by TheBizAutomater with unauthorized third parties.

4. Payment Terms

Fees for services will be outlined in the applicable Statement of Work or Service Agreement. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

TheBizAutomater reserves the right to suspend services if payment is not received within fifteen (15) days of the due date, following written notice to the client.

5. Intellectual Property

All proprietary methodologies, templates, frameworks, and documentation developed by TheBizAutomater remain the intellectual property of TheBizAutomater. Upon full payment, clients receive a non-exclusive, non-transferable license to use deliverables created specifically for their engagement.

Any pre-existing intellectual property, tools, or code libraries used by TheBizAutomater in the delivery of services remain the sole property of TheBizAutomater. Custom configurations and workflows built on third-party platforms are subject to the terms of those respective platforms.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business processes, customer data, financial information, technical configurations, and strategic plans. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

This confidentiality obligation shall survive the termination of the service relationship for a period of two (2) years.

7. Data Privacy and Security

TheBizAutomater takes data privacy seriously. We will handle your data in accordance with applicable data protection laws and regulations. We will only access, use, and store client data as necessary to perform the agreed-upon services.

While we implement reasonable security measures to protect your data during our engagement, you acknowledge that no method of electronic storage or transmission is completely secure. TheBizAutomater is not responsible for data breaches or security incidents arising from your own systems, third-party platforms, or circumstances beyond our reasonable control.

8. Third-Party Platforms

Our services may involve the configuration and integration of third-party software platforms and tools. TheBizAutomater is not responsible for the availability, performance, pricing changes, or terms of service of any third-party platforms. You agree to comply with the terms and conditions of any third-party services used in connection with our services.

TheBizAutomater does not guarantee that third-party platforms will remain available or continue to offer the same features and functionality over time.

9. Limitation of Liability

To the maximum extent permitted by applicable law, TheBizAutomater shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services, regardless of the theory of liability.

Our total cumulative liability for any claims arising from or related to a specific engagement shall not exceed the total fees paid by the client for that engagement during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

TheBizAutomater provides services on an "as-is" and "as-available" basis to the extent permitted by law. While we strive to deliver high-quality results, we do not guarantee specific business outcomes, revenue increases, cost savings, or time savings. Results may vary depending on your business, industry, team, and other factors outside our control.

We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless TheBizAutomater, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of our services, or your violation of any applicable law or third-party rights.

12. Term and Termination

The term of each engagement will be specified in the applicable Statement of Work or Service Agreement. Either party may terminate an engagement with thirty (30) days’ written notice to the other party, unless otherwise specified in the Service Agreement.

Upon termination, you are responsible for payment of all fees for services rendered through the date of termination. TheBizAutomater will provide reasonable assistance in transitioning services, subject to payment of applicable fees.

Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or power outages, cyberattacks, or labor disputes.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TheBizAutomater is incorporated, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

15. Website Use

You agree not to use the TheBizAutomater website for any unlawful purpose or in any manner that could damage, disable, or impair the website. You may not attempt to gain unauthorized access to any systems or networks connected to the website. All content on the website, including text, graphics, logos, and images, is the property of TheBizAutomater and is protected by applicable intellectual property laws.

16. Entire Agreement

These Terms, together with any applicable Statement of Work or Service Agreement, constitute the entire agreement between you and TheBizAutomater regarding the subject matter herein and supersede all prior agreements and understandings, whether written or oral.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
